1 Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the website promotaindia.com and all services provided by Promota India, a sole proprietorship registered under MSME, located at Sainik Colony, Bareilly, Uttar Pradesh, India.

By visiting our website or purchasing a service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

2 Our Services

Promota India provides the following digital services:

• Social Media Marketing (content creation, management, strategy)
• Website Design & Development
• AI Agents & Automation
• Search Engine Optimization (SEO)
• Paid Advertising (Meta Ads & Google Ads)

All service deliverables, timelines, and scope are agreed upon in writing (via email, proposal, or signed agreement) before work begins. Any changes to the agreed scope may result in revised pricing and timelines.

3 Payments & Billing

All prices are listed in Indian Rupees (₹). Payments are processed securely through Stripe. By providing payment details, you authorise Promota India to charge the agreed amount.

• One-time services (e.g., website development) require a minimum 50% advance payment before work begins. The remaining balance is due upon project completion before final files are delivered.
• Monthly subscriptions are billed on the same date each month. Failure to pay on time may result in suspension of services.
• Yearly plans are billed annually and are non-refundable after the 14-day refund window.
• We currently do not charge GST as we are below the GST threshold. This may change in the future and clients will be notified accordingly.

In case of a failed payment, we will make two retry attempts before suspending the subscription. You will be notified via email at each step.

4 Intellectual Property

Upon full and final payment, all deliverables created for a client (website design, content, branding assets) become the client's property. Until full payment is received, all work remains the intellectual property of Promota India.

You may not copy, modify, distribute, reverse-engineer, or resell any Promota India product or service without explicit written permission.

5 Client Responsibilities

To ensure smooth delivery of services, clients agree to:

• Provide accurate business information, content, and access credentials when requested
• Respond to queries and feedback requests within a reasonable time (typically 3–5 business days)
• Ensure that all content provided to Promota India (logos, images, text) does not infringe on third-party copyrights
• Not use our services for any illegal, misleading, or harmful purposes
• Keep login credentials for any tools confidential and not share access with unauthorised users

Delays caused by the client (late content, approvals, etc.) are not the responsibility of Promota India and may result in revised timelines without penalty to us.

6 Limitation of Liability

Promota India provides services on a best-effort basis. While we strive for excellence, we do not guarantee specific business results such as leads, sales, rankings, or revenue growth from our marketing or SEO services, as these depend on multiple external factors.

To the maximum extent permitted by applicable law, Promota India shall not be liable for any indirect, incidental, special, or consequential damages arising from:

• Use or inability to use our services
• Unauthorised access to or alteration of your data
• Third-party actions (e.g., social media platform changes, Google algorithm updates)
• Force majeure events beyond our control

Our maximum liability to any client shall not exceed the total amount paid to Promota India in the three months preceding the claim.

7 Termination

Either party may terminate the engagement with written notice (email is acceptable). Upon termination:

• Any outstanding invoices become immediately due and payable
• Work completed up to the termination date will be delivered after full payment
• Active subscriptions will remain accessible until the end of the current billing period
• Promota India reserves the right to terminate services immediately in the event of misuse, non-payment, or violation of these Terms

8 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bareilly, Uttar Pradesh, India.

We encourage resolving disputes amicably first — please reach out to us before pursuing legal action.

9 Changes to Terms

Promota India reserves the right to update or modify these Terms at any time. We will notify existing clients of material changes via email at least 14 days in advance. Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.

We recommend reviewing this page periodically. The "Last updated" date at the top indicates when this document was last revised.
